1. Purpose and Scope of the Document

1.1 Nature of this Annexe

Happydemy® designates this document ("Annexe") as an integral and binding part of the Terms and Conditions↗. It governs, in a unified manner and in compliance with applicable European and international law, the general criteria, operational methods, and limits relating to the internal system of bonuses, awards, rewards, and digital credits ("HappyCoins" or "HC").

1.2 Scope of Application

This Annex applies to all registered and verified Users who, according to their account level, participate in the mechanisms for:

  • accumulating HC,

  • earning HC,

  • using HC,

  • Requesting a withdrawal of HC,
    or who benefit from awards, incentives, recognitions, or rewards distributed by Happydemy® through any functionality of the digital ecosystem.

1.3 Reference to the General Terms and Conditions

Users must interpret and apply all provisions contained in this Annexe in coordination with the Terms and Conditions↗, the Digital User Identification Policy (DUI)↗, the Privacy Policy↗, the Community Guidelines↗, and any other supplementary contractual documentation.

In the event of a conflict between the provisions contained in this Annexe and the Terms and Conditions↗, courts and competent authorities must apply the Terms and Conditions↗, unless the Company and the User expressly agree otherwise.

HappyCoins (HC) are digital content intended exclusively for Platform use as a digital consumable product calleHappyCoinemy® ecosystem. By purchasing or earning HC, the User receives a limited, revocable, non-transferable, and non-refundable license to access digital features and express appreciation for other Users' content (e.g., Support actions).
HC do not serve as a currency. The Company does not treat HappyCoiny (e-money), property, or a financial instrument as a security. HC accrue no interest, have no monetary value outside the Platform, and Users may not use them as collateral.

2.2 Prohibited Exchanges (The "Quid Pro Quo" Ban)

To preserve the ecosystem's internal nature, Users must not use HC as a substitute for ordinary currency. The Company strictly prohibits any exchange. HC is a digital consumable product usable only inside the Happydemy Platform.
Spot:

  • Sell, barter, or trade HC with other Users or third parties in exchange for fiat money, cryptocurrencies, or external goods.

  • Offer physical merchandise (e.g., clothing, product shipping), offline services (e.g., dinner dates, meetups), or professional services (e.g., grading, consulting) through the Affiliate Program.

  • Solicit HC as "donations" for external causes or promise real-world rewards for specific HC amounts.

  • Use HC as a bet or wager.

2.3 Permitted Uses and Community Engagement

Users may encourage HC support by offering native digital benefits within the Platform, such as dedicating content to top supporters, allowing supporters to vote on upcoming topics, or setting community-wide goals that unlock special content streams.

3. HC Balances: Consumption and Payouts

3.1 Accounting Categories (Purchased vs Earned)

To ensure transparency and compliance, the Platform company strictly accounts for HC under two distinct categories within the User's digital account:

  • Purchased HC Balance: Acquired via authorised payment systems. The Company treats these solely as prepaid consumption units. They are not eligible for a payout, are non-refundable, and are subject to automatic expiration as defined in the Happydemy Central policies.

  • Earned HC Balance: Acquired via participation in the revenue share programs (e.g., receiving interactions on content, generating affiliate revenue). The Company treats Earned HC as a metric of accrued contractual compensation, which verified Users may request as a Payout via bank transfer.

3.2 Consumption Priority

When a User consumes a Platform service requiring HappyCoins, the Platform automatically deducts the required amount from the Purchased HC Balance first. The Platform uses an automatic notice before the HC expires. Balance only when the purchased coins are totally exhausted, preserving the User's eligibility for payout compensation for as long as possible.

4. Acquisition of HC

4.1 Methods

The Company credits HappyCoins (HC) to the User's HC account exclusively through the following authorised methods:

  • Direct purchase via payment systems approved by the Company, credited to the Purchased HC balance;

  • Receipt of interactions on original content published on the Platform;

  • Participation in official campaigns, events, missions, or contests, with discretionary allocation by the Company;

  • Invitation programmes, where the User receives HC as an affiliate revenue share from the activities of invited Users on the Platform.

  • The Company defines promotional allocations, bonuses, and recognitions through specific regulations that it publishes from time to time.

The Company declares invalid any alternative form of acquisition not expressly provided for and may immediately revoke the corresponding HC.

4.2 Requirements

The Company allows only Users holding a verified account to acquire HC.

Some acquisition methods may be subject to additional requirements, such as:

  • level of document verification;

  • active subscription;

  • minimum activity thresholds or content quality levels.

The Company reserves the right to define or amend such requirements at any time, without retroactive effect.

4.3 HC Classification

The Company credits HC into two separate accounting categories:

  • Purchased HC, usable exclusively for internal services and interactions, not eligible for withdrawal for payout and non-transferable;

  • Earned HC, derived from internal activities, interactions, invitations, and rewards, elwithdrawgible for payout within permitted limits and eligible for payout within permitted limits.

The Company accounts for each category separately, treating them as non-cumulative and non-interchangeable.

4.4 Checks and Validation

The Company performs automatic and manual verification on all credits.

The Company reserves the right to suspend, delay, cancel, or adjust the credit in cases of:

  • received reports;

  • suspected violations of the Terms and Conditions↗;

  • misuse of interaction or invitation systems;

  • technical inconsistencies or behavioural anomalies.

The Company grants the User a right to credit only after it has completed final validation.

4.5 Discretion

The Company retains full discretion to activate, suspend, or modify one or more acquisition methods without prior notice, except as required by law.

The Company publishes any changes via Happydemy Central and applies them only prospectively.

5. Credit and Calculation

5.1 Calculation Criteria

The Company allocates HappyCoins (HC) according to a predefined algorithm, which it makes transparently accessible within the Happydemy Central section.

The Platform varies rewards depending on the type of interaction received (e.g., supports, comments, reactions) and displays them in an updated table.

The Company permits all published content, including free content, to generate HC in accordance with established parameters.

Passive views do not generate economic value.

The Company reserves the right to update coefficients, values, or internal mechanisms without retroactive effect, unless otherwise officially communicated.

5.2 Credit Timing

HC are credited in real time upon the occurrence of the qualifying event, unless technical anomalies occur.

For affiliate revenue share from invitations, crediting occurs automatically upon the invited User confirming the qualifying activity.

The Company does not apply any blocking or freezing periods to HC crediting. However, the Company applies a standard maturation period (as defined in the payout policies published on Happydemy Central) from the date of crediting before earned HC become eligible for payout. This period allows for operational validation of the credited amounts and may be modified by the Company at any time with prior notice. This maturation period does not affect the use of earned HC for Platform services. The Company reserves the right to extend or reduce this period, or to introduce additional verification steps, in cases of fraud, documented error, or regulatory requirements.

5.3 Viewing and History

Each User can view the transaction history via the "Transactions" section of their HC Inventory.

The Company grants Subscribed Users extended viewing with detailed information on the credited HC's reason, date, origin, and type. The Company allows Non-subscribed Users to see only the essential summary.

The balance shows the total available HC, while the breakdown between purchased, earned, expired, or blocked HC is available in specific profile sections.

Each received transaction is notified via the internal system (e.g., app push notification).

5.4 Checks and Controls

The Company initially recognises all credits as valid and confirmed upon receipt, and subsequently verifies them.

In the event of irregularities, technical error, misconduct, or violation of the General Terms and Conditions, the Company may revoke HC already credited, in whole or in part, including retroactively.

The User may report the absence or incorrect crediting of HC through the official channels provided (Help Centre↗, Contact Us↗, or internal ticket).

5.5 Consumption and Compensation Separation

When a User interacts with content (e.g., likes, boosts, comments), they are consuming a Platform service. The Platform consumes the HappyCoins spent by the interacting User. Separately, the Company credits the content creator with earned HappyCoins as contractual compensation under the revenue share programme. This compensation is determined and paid by the Company, and does not constitute a payment or transfer from the interacting User to the content creator.

6. Payout

6.1 Requirements

The Company permits payouts exclusively for earned HC and only to Users with a verified profile.

The Company sets payout limits based on the User's verification level and displays them in real time in the User's account on Happydemy Central. The Company may define different payout tiers based on the level of identity verification completed, and reserves the right to modify such thresholds at any time, with prospective effect only.

The User must be of legal age, and a resident of one of the countries authorised to use the Platform.

The Company automatically issues a tax document with each payment and records the nature of the amount (content revenue share or affiliate revenue share).

6.2 Methods

The Company executes payouts exclusively via bank transfer (SEPA for EU/EEA, or international wire transfer for other eligible countries) to the User's account as indicated in their profile.

The Company processes payouts on a regular schedule. It publishes the estimated settlement time in the payout section of Happydemy Central and may update it from time to time.

Manual payment verification ensures tax compliance, prevents abuse, and verifies the beneficiary's identity in accordance with applicable anti-money laundering regulations.

The Company reserves the right to update or modify the available payout methods at any time.

6.3 Fees and Limits

The Company applies a Community Fee (a percentage of the gross payout amount) to each payout, as published in the fee schedule on Happydemy Central.

The Company applies a minimum payout threshold. The Company carries over earnings below this threshold to the following payment period. Happydemy Central displays the current minimum threshold and applicable fee rates in the payout section.

The Company determines the maximum payout limits according to the User's verification level, as described in Article 6.1.

The Company reserves the right to modify fee rates and thresholds at any time, with prospective effect only and with prior notice to affected Users.

6.4 Revenue Classification and Taxation

The Company classifies all amounts earned and paid out to the User (whether originating from content interactions, invitations, or other reward activities) as a single Self-Billing Revenue Share.

The Company treats this category exclusively as contractual compensation that it pays to the User under this revenue share programme. The Company does not treat this compensation as employment income, sales commissions, or royalties.

Applicable law, including Council Directive (EU) 2021/514 (DAC7), requires the Company to collect certain personal and financial information from Users who earn income through the Platform, including tax identification numbers and bank account details. The Company may report this information to the Irish Revenue Commissioners, who may exchange it with the tax authorities of the User's country of residence.

The User remains solely responsible for any tax obligations arising from the payments received. The Company does not act as a withholding agent or provide tax advice. The Company reserves the right to request additional documentation, including tax data, in cases of high volume or regulatory checks.

6.5 Suspension and Security

The Company may suspend, cancel, or refuse a payout in the event of:

  • violations of the Terms and Conditions↗ or Supplementary Documentation;

  • ongoing reports, disputes, or internal investigations;

  • obligations imposed by national or international laws.

The Company may temporarily suspend payouts for maintenance, updates, or extraordinary checks.

In any case, the Company directs payouts only to bank accounts in the name of the verified account holder.

7. Promotional Programmes, Leaderboards, and Missions

7.1 Types and HappyPoints

The Company may launch, at any time, internal or public promotional initiatives to recognise, offer incentives, or provide merit-based rewards.

The Company may launch initiatives that include, but are not limited to:

  • Temporary promotional programmes (e.g., cashback, special bonuses, prize events);

  • Leaderboards based on weekly or monthly activity, or on content quality criteria;

  • Missions and time-limited objectives, with rewards upon completion.

Participation is reserved for verified Users, with possible additional limitations for subscribed Users.

The Platform tracks all actions relevant to leaderboards, allocations, and rewards through the proprietary HappyPoint System (HP), which assigns points proportional to the activity performed, quality, reputation, and subscription level.

The Company defines HP as non-transferable and not eligible for payout, and uses it as the official metric for the Platform's reward systems.

7.2 Participation Methods

For some promotional programmes, the Platform automatically enrols Users; for others, the Platform requires the User to register explicitly.

Each initiative is governed by specific terms and conditions that define participation criteria, exclusions, calculation methods, and associated rewards.

The Company reserves the right to limit or exclude from participation any users who are suspended, reported, or have engaged in abnormal behaviour, and to prohibit any form of manipulation, collusion, or technical circumvention.

7.3 Rewards

Available rewards may include:

  • HC (earned or purchased, depending on the programme);

  • badges, medals, increased visibility or ranking;

  • free subscription days or temporary additional features;

  • exclusive promotions or priority access to services.

The Company specifies, in the rules for each initiative, the nature of the HC awarded (whether eligible for payout or not).

Depending on the programme type, the Company may credit rewards automatically or after manual verification.

7.4 Duration, Validity, and Integrity

The Company defines the duration of each programme and clearly indicates its end date.

The Company may modify, suspend, or revoke any ongoing initiative at any time, without notice, except in the case of a promotion already concluded.

The Company considers results, scores, and leaderboards final, except for demonstrable technical errors.

Any form of alteration, algorithm manipulation, collusion between users, or artificial strategies aimed at altering results is prohibited.

7.5 Partners and External Promotions

The Company reserves the exclusive right to authorise official partners to sponsor or manage promotional missions, leaderboards, or themed bonuses.

Such programmes may offer additional rewards, integrated services, or external visibility, according to individual agreements.

The Company prohibits any unauthorised promotion or similar initiative proposed by third parties and treats it as invalid on the Platform.

8. Invitations and Affiliate Revenue Share

8.1 Mechanism

Verified Users have access to a personal, unique, and non-editable invitation code that is automatically activated upon completion of the identity verification process.

Each Verified User receives several one-time invitations upon completing identity verification. Subscribed Users may receive additional invitations according to their subscription plan. The Platform displays in real time, within the User's account on Happydemy Central, the number of available invitations for each account type, and the Company may update this number at any time.

Additional invitations can be requested exclusively through Certified Agencies authorised by the Company.

Earnings do not result from the simple act of inviting but are generated solely as a share of the revenue from the activity of invited Users within the Platform.

8.2 Tracking

The Platform tracks each invitation via a unique link containing an embedded code, which is also available as a QR Code.

When a new User accesses the Platform via this link and completes registration, the Platform establishes a permanent connection between the inviter and the invitee. It does not allow any change to this connection.

Once the invited User registers, the Platform marks the invitation as "used" and automatically deducts it from the number of available invitations.

The Platform refuses any attempt by Users to register invitations retroactively.

8.3 Affiliate Revenue Share

The User who sent the invitation receives an affiliate revenue share in HappyCoinns (HC) as a share of the Company's revenue generated from the invited User's activity on the Platform.

Affiliate revenue share is always credited in earned HC and is therefore subject to the payout rules defined in Article 6.

Each qualifying activity generates affiliate revenue share in real time, according to the percentage set and communicated via Happydemy Central.

8.4 Integrity and Security

The invitation system is available only to Verified Users. The invitation code or QR Code is not accessible or visible before profile verification.

The Company reserves the right to revoke affiliate revenue share credits or deactivate the invitation system in the event of:

  • abnormal or suspicious behaviour;

  • self-invitations by the same individual;

  • multiple invitations to the same end user;

  • use of VPN networks, shared IPs, or evasive techniques.

Any attempt at manipulation or misuse will be considered a material breach of contract.

8.5 Revenue Classification

When a User submits a payout request resulting from affiliate revenue share, the Company automatically generates a tax document in the beneficiary User's name.

The Company classifies such earnings as affiliate revenue share — contractual compensation that it pays under its revenue share programme. They do not constitute employment income or sales commissions.

The User is fully responsible for the tax treatment of amounts received, in accordance with the laws of their country of residence and the provisions of Article 6.4.

9. Changes, Monitoring, and Sanctions

9.1 Power to Modify

The Company reserves the right to amend at any time, without prior notice, the following internal economic conditions:

  • the nominal value of HappyCoins (HC), limiting its effect to new HC purchased or earned after the date of change;

  • the revenue share percentages granted to Users for invitations or other reward activities;

  • the rules relating to promotional programmes, bonuses, leaderboards, missions, and other incentive mechanisms.

The Company applies all changes without retroactive effect, unless it officially communicates and the User accepts a different arrangement.

9.2 Monitoring

The Company reserves the right to monitor at any time all economic activities carried out within the Platform, including:

  • individual balances;

  • transactions made;

  • HC usage patterns;

  • atypical, automated, suspicious, or potentially fraudulent behaviour.

The Company may act without notice to suspend, block, or limit ongoing economic activities if there is even a risk of fraud, evasion, system abuse, or compromise of the Platform's integrity.

9.3 Suspension and Adjustment

In the event of anomalies, technical errors, violations of the General Terms and Conditions, or improper conduct by the User, the Company may:

  • suspend or revoke in whole or in part the HC credited, even if already displayed or counted in the balance;

  • Adjust the User's HC balance, documenting the reason for the intervention and any supporting evidence.

The Company may also take such actions retroactively and does not grant the User any right to retain the amounts in dispute.

9.4 Sanctions

The Company may, at its discretion, apply proportionate sanctions in the event of:

  • misuse of compensation or reward mechanisms;

  • violations of promotional rules or attempts to circumvent the system.

Sanctions may include:

  • written warnings or temporary suspension of balance access;

  • permanent blocking of payouts;

  • exclusion from economic programmes;

  • permanent account ban in case of recurrence or documented fraud.

The Company treats its decisions as final, except when a documented technical error or a proven violation of applicable regulations occurs.

9.5 Communications

The Company communicates any material change or disciplinary action via email to the address associated with the User's account.

In the event of suspension or adjustment, the Company grants the User the right to submit a written reply through the channels provided in the Community Guidelines↗, within the timeframe indicated in the notification.

10. Final Provisions

10.1 Integrative Nature

The Company treats this "Bonus and Rewards" Annexe as an integral part of the Terms and Conditions↗ of Happydemy®. It applies the same validity, interpretation, and jurisdiction as defined in the applicable contractual articles.

In the event of a conflict between this Annexe and other contractual documents or specific regulations, the provisions contained in the Terms and Conditions↗ shall always prevail, unless otherwise and formally specified.

10.2 Interpretation Clause

The Company interprets all references to HappyCoinns (HC), HappyPoints (HP), revenue share, prizes, bonuses, and leaderboards as governed by the definitions, conditions, and limits set out in this document and in the applicable legislation.

The Company uses terminology that has technical and functional value and does not intend to imply any monetary, financial, or fiscal nature other than as described herein.

10.3 Territorial Scope and International Validity

The Company applies this Annexe in all countries where the Happydemy® Platform is legally accessible.

The Company drafts and interprets all content herein in accordance with:

  • the commercial and tax laws in force in Ireland;

  • The regulations of the European Union, including the Digital Services Act and the General Data Protection Regulation (GDPR).

In the event of expansion into third countries, the Company reserves the right to integrate, localise, or adapt this Annexe in accordance with the applicable legislation.

10.4 Updates and Versions

The Company may update, supplement, or revise this document at any time at its discretion.

The Company always publishes the latest available version in official format within Happydemy Central, under the "Legal Documentation" section.

10.5 Acceptance

When Users continue to use the Platform or participate in any form of compensation programme or internal initiative, they fully, knowingly, and bindingly accept this Annexe and all its subsequent versions.
